These terms set out the framework for every engagement. Last updated: August 2026.
These terms govern all services provided by ENTERNOVATE (PTY) LTD (2025/911173/07). These services include cybersecurity engagements, software development, IT services, and hardware supply. A written proposal, order, or service agreement for a specific engagement supplements these terms. If the documents conflict, the specific agreement prevails.
Quotations are valid for 30 days unless we state otherwise. Hardware prices can change if supplier prices or exchange rates change between quote and order. We confirm final pricing before any order is placed. Prices exclude VAT unless we state otherwise.
We scope cybersecurity and software engagements in writing before work begins. The proposal sets out the deliverables, timelines, and payment milestones. Hardware orders confirm stock availability and the delivery schedule before invoicing.
Pay invoices within 30 days of issue unless we agree otherwise. Late payment may incur interest at the prescribed rate. We may pause work on overdue accounts.
For software and custom builds, intellectual property transfers to the client on full payment. Our pre-existing tools, frameworks, and open-source components remain ours or their owners'. We license them for your use. We may reference the engagement in our portfolio without confidential details.
Both parties keep each other's confidential information private. We sign NDAs on request. We never disclose client data or findings without authorisation. The law may require disclosure.
We perform services with professional care and in line with industry standards. To the maximum extent permitted by law, our total liability under any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss. Nothing in these terms excludes liability that the law does not allow us to exclude.
Security assessments review a system at one point in time. No assessment can guarantee absolute security. Clients remain responsible for implementing remediation. Clients remain responsible for their own systems and data.
Hardware is supplied with the manufacturer's warranty. The warranty passes through to the client. We help with warranty claims and after-sales assistance.
The laws of the Republic of South Africa govern these terms. We refer disputes first to good-faith negotiation. Then we refer them to mediation. Legal proceedings take place in the Gauteng division of the High Court.
